Legal, Finance & People · Chapter 2 of 4
Commercial counsel and legal operations
The largest cluster here, and 'legal engineer' is now a title in its own right.
Commercial counsel is the biggest single title in this group, and the corpus also contains legal engineer as a distinct role — someone who builds the systems that make legal work scale rather than performing the legal work itself.
- Contract volume is the constraint. A growing SaaS company signs more agreements than counsel can review individually, so the job becomes templates, playbooks, fallback positions and self-service.
- The recurring negotiations are few. Liability caps, indemnities, data processing, security commitments, termination. Knowing the standard positions and where your company will actually move is most of commercial counsel.
- AI contracting is newly load-bearing — training-data rights, output ownership, indemnity for model outputs, and what a vendor may do with your inputs. This is one of the fastest-moving areas in the corpus.
- Privacy is adjacent and often the same person at smaller companies — DPAs, sub-processors, transfer mechanisms, retention.
What differentiates a candidate
Evidence that you reduced the queue rather than worked it. A playbook that let sales close standard deals without review, a template that cut turnaround, a self-service NDA flow.
“I reviewed 400 contracts” describes throughput. “I removed 60% of contracts from review entirely by writing a playbook, and turnaround on the rest fell from nine days to two” describes building a system, which is what 93% of these postings are asking for.
